These Website Terms and Conditions ("Terms") govern your access to and use of the website located at statsby.ai and any subdomains operated by Statsby Solutions Pvt. Ltd. (collectively, the "Website"). The terms "Statsby", "we", "us", and "our" refer to Statsby Solutions Pvt. Ltd., a company incorporated in India with its registered office at 409 Raheja Centerpoint, NIBM, Pune 411060, Maharashtra, India. The terms "you" and "your" refer to the individual or entity accessing or using the Website.
By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree with any part of these Terms, please do not use the Website.
These Terms govern only your use of the Website. The use of our products (including any deployment of Veractra, Revectra, or any other product) and our consulting services is governed by separate written agreements between Statsby and the engaging organization, which may include a Master Services Agreement, Statement of Work, End User Licence Agreement, Data Processing Agreement, or other comparable instrument. Where any conflict arises between these Terms and the terms of such an agreement, the latter shall prevail with respect to the products or services covered. Where you access a product through the Website without a separately signed agreement, the applicable terms for that product (including any click-through licence) shall govern the use of that product, and these Terms shall continue to govern your use of the Website itself.
In the event of a conflict between these Terms and our Privacy Policy with respect to the handling of personal information, the Privacy Policy shall prevail.
The Website is intended for business audiences. By using the Website, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Website on behalf of a company or other legal entity, you further represent that you have the authority to bind that entity to these Terms, and references to "you" in these Terms apply to that entity as well.
You may not use the Website if you are barred from doing so under the laws of India or any other jurisdiction applicable to you, or if your use would violate any applicable law, regulation, or third-party right.
Subject to your compliance with these Terms, Statsby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Website for legitimate business purposes — including learning about our products and services, requesting demonstrations or discovery sessions, downloading content we have made available for download, applying for roles, and otherwise communicating with us through the channels we provide.
All other use is prohibited unless we expressly authorize it in writing.
You agree not to engage in any of the following activities in connection with the Website:
You may not use any content, text, code, design, graphics, data, or other materials available on or through the Website — in whole or in part — to train, fine-tune, evaluate, or otherwise develop any artificial intelligence system, machine learning model, large language model, or comparable technology, whether by you directly or by any third party on your behalf, except with our prior written permission. The foregoing restriction extends to all forms of automated extraction, including the use of crawlers, scrapers, agents, or other tools designed to collect content for such purposes. This restriction is in addition to, and does not limit, the prohibitions set out in Section 4.
The Website and all content made available on or through it — including text, graphics, images, logos, page layouts, design elements, code, written materials, audio and video, downloadable documents, and the selection, arrangement, and compilation thereof — are owned by Statsby or our licensors and are protected by copyright and other intellectual property laws of India and other jurisdictions.
"Statsby", "Statsby Solutions", the Statsby logo, "Veractra", "Revectra", and any other product or service names, brand names, and identifying marks used on the Website are names and identifiers used by Statsby in commerce, and Statsby reserves all rights in them under applicable law. You may not use, reproduce, or display any of these names or marks without our prior written permission. All other names, marks, and identifiers referenced on the Website are the property of their respective owners.
Nothing in these Terms transfers any right, title, or interest in the Website or its content to you, except for the limited use right expressly granted in Section 3.
When you submit information to us through the Website — for example, by completing a contact form, requesting a demonstration, downloading gated content, or applying for a role — you represent that the information you provide is accurate and that you have the right to share it with us.
You retain ownership of the information you submit. By submitting information to us, however, you grant Statsby a worldwide, royalty-free, non-exclusive licence to use, store, and process that information for the purposes set out in our Privacy Policy, including responding to your enquiry, communicating with you, and operating our business.
We do not seek confidential information through unsolicited submissions. Please do not submit any information you consider proprietary, confidential, or trade-secret unless we have agreed in writing on the terms governing its protection. Information you submit through the Website without such an agreement will not be treated as confidential, except as required by applicable privacy laws and our Privacy Policy.
The Website may contain links to websites, services, or resources operated by third parties. Such links are provided for your convenience only. We do not control, endorse, sponsor, or assume responsibility for any third-party website, service, or content you access through the Website, and we make no representation or warranty about the accuracy, completeness, security, or reliability of such third-party offerings. STATSBY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
Without limiting the foregoing, Statsby does not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any defects will be corrected. Information published on the Website is provided for general informational purposes only and does not constitute legal, regulatory, financial, medical, or professional advice. You are solely responsible for evaluating the suitability of any information for your purposes and for any decisions you make based on it.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STATSBY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE WEBSITE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT STATSBY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL STATSBY'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE WEBSITE EXCEED ONE HUNDRED INDIAN RUPEES (INR 100). THIS LIMITATION APPLIES IN AGGREGATE TO ALL CLAIMS, REGARDLESS OF THEIR NATURE OR NUMBER.
For the avoidance of doubt, this Section governs liability arising from your access to and use of the Website only. Liability arising from any product subscription, licence, or consulting engagement provided by Statsby under a separate written agreement is governed exclusively by the terms of that agreement, and not by this Section.
Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties. To the extent that any such limitation is held unenforceable in your jurisdiction, the relevant limitation shall apply to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Statsby and its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your access to or use of the Website in violation of these Terms or applicable law; (ii) any content, information, or material you submit to us through the Website; (iii) your violation of any third-party right, including any intellectual property, privacy, or contractual right; and (iv) any negligent or wilful misconduct on your part in connection with the Website. This indemnification obligation shall not extend to claims caused by Statsby's gross negligence or wilful misconduct.
We may update these Terms from time to time to reflect changes in our practices, the Website, applicable law, or for other reasons. When we make material changes, we will update the "Last Updated" date at the top of these Terms and, where appropriate, provide additional notice on the Website. Your continued use of the Website after the effective date of any updated Terms constitutes your acceptance of the updated Terms. If you do not agree with any change, you should stop using the Website.
We may also modify, suspend, or discontinue the Website (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.
We may suspend or terminate your access to the Website at any time, with or without notice and without liability to you, if we reasonably believe that you have violated these Terms, that your use of the Website creates a security or operational risk, or that termination is necessary to comply with applicable law or to protect Statsby, our users, or third parties.
The provisions of these Terms that by their nature should survive termination — including those relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any other provisions intended to survive — shall continue to apply after termination.
These Terms and any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the Website shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.
You agree that the courts and tribunals having jurisdiction in Pune, Maharashtra, India shall have exclusive jurisdiction to settle any such dispute, claim, or controversy, and you submit to the exclusive jurisdiction of those courts. Nothing in this Section limits Statsby's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed from these Terms. The remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver of a provision of these Terms shall be effective only if in writing and signed by an authorized representative of Statsby.
You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms, in whole or in part, at any time, without notice to you. Any attempted assignment in violation of this Section shall be void.
These Terms, together with our Privacy Policy and any other policies or notices we publish on the Website, constitute the entire agreement between you and Statsby with respect to your access to and use of the Website, and supersede all prior or contemporaneous agreements, communications, and understandings on that subject.
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Statsby. Neither party has the authority to bind the other or incur any obligation on the other's behalf.
Statsby shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by events beyond its reasonable control — including acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labour disputes, internet or telecommunications failures, cyber attacks, epidemics, pandemics, and public health emergencies.
Any notice required to be given by Statsby under these Terms may be given by posting on the Website, by email to the address you have provided to us, or by any other reasonable means. You may contact us using the details set out in Section 17.
In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as applicable, Statsby publishes the following grievance contact for users in India who have concerns or complaints relating to their access to or use of the Website, including content displayed on or submitted through it:
